Frequently asked questions
How do I get a certificate of good standing in Michigan?
Order at michigan.gov/fileonline with a MiLogin for Business account: search the entity, choose “Request Certificate” and pay by card; the certificate is emailed to you. Michigan calls it a “Certificate of Good Standing”.
How much is a Michigan certificate of good standing?
Fee shown when you order online, per the Michigan LARA — Corporations Division.
How long does it take?
It isn’t instant — allow processing time, or pay for expedited service where the state offers it.
Why can’t I get a certificate for my Michigan LLC?
The state only issues one if the LLC is current. The usual cause is a missed michigan annual statement (February 15 each year. LLCs formed after September 30 don't file on the February 15 immediately after formation.) or unpaid fees. Late consequence: An LLC that doesn't file falls out of good standing after two years, and its name becomes available to other businesses. To restore good standing, file a Certificate of Restoration ($50) with every missed statement ($25 each).
Is it the same as a certificate of existence?
For most purposes, yes — states use different names for the document confirming an entity exists and is current. Some states also offer a longer version listing filing history.
