Frequently asked questions

How do I get a certificate of good standing in New York?

Request in writing by mail, hand delivery or email — not available online or by phone. New York calls it a “Certificate of Status”.

How much is a New York certificate of good standing?

$25 (+$25 / $75 / $150 for 24-hour, same-day or 2-hour service), per the New York Department of State — Division of Corporations.

How long does it take?

It isn’t instant — allow processing time, or pay for expedited service where the state offers it.

Why can’t I get a certificate for my New York LLC?

The state only issues one if the LLC is current. The usual cause is a missed new york biennial statement (Every two years, during the calendar month your Articles of Organization were filed. Don't file early — statements filed before that month don't count.) or unpaid fees. Late consequence: No late fee, but the LLC shows as 'past due' in state records and on certificates of status, which can block some business transactions. You can still file late online.

Is it the same as a certificate of existence?

For most purposes, yes — states use different names for the document confirming an entity exists and is current. Some states also offer a longer version listing filing history.
